MINUTES OF FIRST MEETING OF SHAREHOLDERS
The first meeting of the shareholders of ____________________________ was held at _____________________________________________________ on the ____________ day of _______________, ____, at ___ _m. The meeting was duly called to order by the President. Next, the Secretary read the list of shareholders as they appear in the record book of the Corporation. He reported the presence of a quorum of shareholders. Next, the Secretary read a waiver of notice of the meeting, signed by all shareholders. On a motion duly made, seconded and carried, the waiver was ordered appended to the minutes of this meeting. Next, the President asked the Secretary to read: (1) The minutes of the organization meeting of the Corporation; and (2) The minutes of the first meeting of the Board of Directors. A motion was duly made, seconded and carried unanimously that the following resolution be adopted: WHEREAS, the minutes of the organization meeting of the Corporation and the minutes of the first meeting of the Board of Directors have been read to this meeting, and WHEREAS, bylaws were adopted and directors and officers were elected at the organization meeting, it is hereby RESOLVED that this meeting approves and ratifies the election of the directors and officers of this Corporation for the term of _________ years, and approves, and adopts the by-laws of the corporation. It is further RESOLVED that all acts taken and decisions made at the organization meeting and the first meeting of the Board are approved and ratified.
